Bon Secours to Buy Surgery Partners for $5.7 Billion

Bon Secours Mercy Health agreed on Oct. 26 to acquire Surgery Partners through its HealthSpan Partners affiliate in a take-private deal worth about $5.7 billion including debt, adding more than 200 ASCs, surgical hospitals and physician practices across 30 states and roughly 5,000 affiliated physicians to its 47-hospital system. The deal mirrors Ascension's $3.9 billion Amsurg acquisition and Tenet's continued expansion of United Surgical Partners International, as health systems race to build ambulatory surgery platforms amid payer pressure to shift procedures to lower-cost sites. Public shareholders will receive $23.50 per share in cash; Bain Capital affiliates will roll their roughly 39% stake into the new entity. The transaction awaits regulatory and shareholder approval and is expected to close in the first quarter of 2027, which would make Bon Secours one of the five largest ASC owners in the country.

Why it mattersHealth plans and state Medicaid agencies should expect accelerating consolidation of ambulatory surgery capacity that will reshape network contracting, site-of-service steerage, and prior authorization strategies for surgical procedures covered under Medicaid managed care.
